These Terms and Conditions govern your access to and use of the LejaHQ platform and any related services (the Service). By creating an account, subscribing, or using the Service, you agree to these Terms. If you are agreeing on behalf of a business, you confirm you are authorised to bind that business.
1. Definitions
Customer means the business or person who subscribes to the Service. Customer Data means the data you or your users enter into, or generate through, the Service, including accounting records, invoices, employee records and payroll data. Users means the individuals you authorise to access the Service under your account.
2. Accounts and access
You are responsible for maintaining the confidentiality of account credentials, for all activity carried out under your account, and for ensuring your Users comply with these Terms. You must notify us promptly at [email protected] if you believe an account has been accessed without authorisation.
3. Acceptable use
You must not use the Service to break the law, infringe another person’s rights, upload malicious code, attempt to gain unauthorised access to our systems or those of other customers, or interfere with the operation of the Service. Conduct involving unauthorised access to, or interference with, computer systems may constitute an offence under the Crimes Act 2009 (Fiji), and content-related conduct may engage the Online Safety Act 2018 (Fiji).
4. Your data
You retain ownership of Customer Data. You grant us the limited rights necessary to host, process, back up and transmit that data so we can provide the Service, and to produce aggregated statistics that do not identify you or any individual.
You are responsible for the accuracy and lawfulness of the data you enter, and for meeting your own record-keeping obligations under Fijian law, including those arising under the Tax Administration Act 2009, the Value Added Tax Act 1991, the Income Tax Act 2015, the Employment Relations Act 2007 and the Fiji National Provident Fund Act 2011.
5. No professional advice, and no filing on your behalf
The Service is business software. It does not provide accounting, tax, legal or human-resources advice, and it is not a substitute for a qualified adviser.
Unless we have expressly agreed otherwise in writing, LejaHQ does not lodge, submit or file returns, contributions or any other document with the Fiji Revenue and Customs Service, the Fiji National Provident Fund, the Registrar of Companies or any other authority on your behalf. Features that help you prepare, track or export information do not transfer responsibility for filing, accuracy or timeliness, which remains yours. LejaHQ is not certified, endorsed or approved by any Fijian government body unless a specific approval is stated in writing.
6. Subscription and fees
Fees, billing periods and any trial terms are those set out on our pricing page or in your order. Unless stated otherwise, fees are exclusive of Value Added Tax, which will be added where it applies. We may change fees on reasonable notice; changes take effect at the start of your next billing period. Fees already paid are non-refundable except where required by law.
7. Availability and support
We aim to keep the Service available and to support it as described in our Support Policy. We may carry out maintenance, and will give reasonable notice of planned work that we expect to cause disruption. We do not guarantee uninterrupted or error-free operation.
8. Intellectual property
The Service, including its software, design and branding, remains our property or that of our licensors. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription, and nothing more.
9. Liability
Nothing in these Terms excludes or limits liability where it cannot lawfully be excluded or limited, including any consumer guarantees that apply under the Fijian Competition and Consumer Commission Act 2010.
Subject to that, we are not liable for indirect or consequential loss, loss of profits, loss of business, or loss or corruption of data to the extent it arises from causes outside our reasonable control; and our total liability in connection with the Service in any twelve-month period is limited to the fees you paid us for the Service in that period.
10. Suspension and termination
You may cancel at any time, effective at the end of your current billing period. We may suspend or terminate access where fees remain unpaid, where use breaches these Terms, or where required by law. On termination you may export your Customer Data for a reasonable period before it is deleted in line with our Privacy Policy.
11. Electronic records and communication
You agree that we may communicate with you electronically, and that records, acceptances and signatures created through the Service may be given legal effect as electronic records in accordance with the Electronic Transactions Act 2008 (Fiji).
12. Changes to these Terms
We may update these Terms from time to time. Where a change is material we will give reasonable notice. Continuing to use the Service after a change takes effect means you accept the updated Terms.
13. Governing law and disputes
These Terms are governed by the laws of the Republic of Fiji, and the courts of Fiji have jurisdiction. Before starting proceedings, we ask that you raise the matter with us at [email protected] so we can try to resolve it directly.
